As an attorney at Tovella Dowling, PC, Ms. Nguyen counsels clients on a broad range of transactional matters. Her clients include private foundations, public charities, religious organizations, educational institutions, professional associations, as well as for-profit companies and social purpose enterprises, assisting them with all aspects of their operations from inception to dissolution. Her general counsel practice covers entity formation, governance, labor and employment, strategic restructuring including mergers and acquisitions, contract drafting and negotiation, tax-exempt bond financing, and program-related investments. Ms. Nguyen also provides tax strategy and counsel to the firm’s tax-exempt organization clients, frequently tackling legal issues involving unrelated business income planning, compliance with public support tests, private inurement, private benefit and excess benefit transactions, and regulatory and tax filing and return preparation.
Ms. Nguyen holds a Bachelors of Business Administration degree in finance, Magna Cum Laude, from Georgia State University and a Juris Doctor degree from the University of San Diego School of Law, with a concentration on business and corporate law. Prior to practicing in the nonprofit sector, she began her career at Deloitte where she consulted multinational corporations and partnerships on complex tax issues such as legal entity structuring, M&A, financial due diligence, compliance, audit defense, and controversy matters. Ms. Nguyen is also a certified tax preparer and holds her real estate license in the state of California.
Outside of the office, she enjoys hiking, skiing, and tennis.
